Terms of Service

1. Eligibility & Accounts

You must be legally able to enter into this agreement and to consent to the processing of your data in accordance with our Privacy Policy.

• You must provide accurate account information and keep your contact details (such as email) up to date
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account
• If you access FildraAI as part of an organization, your usage may be governed by additional terms agreed with that organization
• You must comply with all applicable laws and regulations when using our services

Details of how account data and authentication information (including Google SSO and AWS Cognito identifiers) are used and stored are described in our Privacy Policy.

2. Early Access & Free Year Program

From time to time, FildraAI may invite users into an early access or pilot program, which can include a one-year free period for selected features such as FieldGuide and fieldmap.

2.1 Early Access Benefits

• Extended free usage, relaxed limits, or preview features not available to general users
• Direct feedback channels to influence product development
• Early access to new crops, regions, and model improvements

2.2 Early Access Conditions

• Early access is personal to you (or your organization) and is not transferable or for resale
• Features are experimental and may be changed, paused, or discontinued at any time
• We may ask for feedback to understand real-world performance. Providing feedback is optional but helps improve the service
• Features may be less stable, contain bugs, and may not include full support or documentation
• Any feedback you provide may be used by FildraAI without obligation to you

2.3 After Early Access Ends

At the end of an early access or free year period, we may offer paid or limited free tiers. You will be informed of changes that affect your ability to continue using the service. If you choose not to continue on a paid plan, your access may be downgraded or limited, but core account and data handling will still follow our Privacy Policy.

3. Service Description & Limitations

3.1 Services Provided "AS IS"

FildraAI is provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that:

• The services will be uninterrupted, timely, secure, or error-free
• The results obtained from the services will be accurate or reliable
• AI-generated recommendations will be appropriate for your specific conditions
• Any errors in the software or models will be corrected
• The services will meet your specific requirements or expectations

3.2 AI Models & Data Limitations

• Models are trained on historical data and may not reflect current conditions, emerging diseases, or local variations
• Model outputs may contain errors, biases, or limitations based on training data and algorithmic constraints
• Disease detection accuracy varies by crop, disease type, image quality, and environmental conditions
• Weather data and predictions are derived from third-party sources and may be inaccurate
• Knowledge bases may not reflect all local regulations, product availability, or agricultural practices

4. Your Responsibilities

You are solely responsible for how you use outputs from FildraAI. In particular:

• Legal Compliance: You must comply with all applicable laws, regulations, and label requirements, including pesticide, fertilizer, and environmental regulations
• Safety First: Always follow appropriate safety protocols, Personal Protective Equipment (PPE) guidance, and Pre-Harvest Interval/Restricted Entry Interval instructions
• Professional Consultation: Consult local extension officers, certified agronomists, veterinarians, or other qualified professionals before making high-impact decisions
• Independent Verification: Always verify key recommendations against local conditions, regulations, product labels, and best practices
• Professional Judgment: Use your own professional judgment and expertise. Do not rely solely on AI outputs for critical decisions

6. Intellectual Property & Content

6.1 Our Content & Technology

FildraAI owns or licenses all rights, title, and interest in and to the services, including:

• Software, AI models, algorithms, and machine learning systems
• User interfaces, designs, trademarks, and branding
• Knowledge base content, agronomy rules, and decision trees
• Training data, model weights, and proprietary methodologies
• Documentation, guides, and educational materials

You may not copy, modify, distribute, sell, or create derivative works from these elements except as explicitly allowed under these terms. Unauthorized use may result in termination and legal action.

6.2 Your Content

You retain ownership of images, text, and other data you upload. By using FildraAI, you grant us a worldwide, non-exclusive, royalty-free license to:

• Process your content to provide the services
• Use anonymized or aggregated data to improve models and features
• Maintain security, debug issues, and ensure service quality
• Comply with legal obligations and enforce these terms

You represent and warrant that you have all necessary rights to upload content and that your content does not violate any third-party rights or applicable laws.

6.3 AI-Generated Outputs

Subject to your compliance with these terms and payment of applicable fees, you may use AI-generated outputs for your own agricultural operations. However, you acknowledge that:

• Outputs may be similar to outputs generated for other users based on similar inputs
• You may not use outputs to develop competing AI/ML products or services
• You may not represent outputs as professional advice or guaranteed predictions

7. Service Availability & Modifications

We aim to provide reliable access to FildraAI, but we cannot guarantee uninterrupted or error-free operation.

• Services may be unavailable during maintenance, upgrades, or due to technical issues
• Features and limits (including early access and free tiers) may change, be introduced, or removed at any time
• Outages may occur due to third-party providers, network problems, or force majeure events
• We reserve the right to modify, suspend, or discontinue any aspect of the services at any time
• Significant changes will be communicated via email or website notice where reasonably practicable

8. Third-Party Services & Dependencies

FildraAI relies on third-party services and data sources. We are not responsible for:

• Weather data accuracy from NASA POWER, CHIRPS, or other meteorological services
• Authentication service availability (Google SSO, AWS Cognito)
• Cloud infrastructure performance (AWS services)
• Third-party agronomy data, product information, or regulatory updates
• Changes to third-party APIs, terms, or service availability

9. Limitation of Liability

9.1 Excluded Damages

We are not liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business, goodwill, or anticipated savings
• Crop damage, agricultural losses, reduced yields, or economic losses related to farming decisions
• Damages from reliance on AI-generated outputs, including misclassification or incomplete advice
• Damages from service interruptions, data loss, or unauthorized access
• Damages from third-party services, weather data, or regulatory changes
• Damages from your violation of laws, regulations, or product labels

9.2 Liability Cap

Where liability cannot be excluded by law, our total aggregate liability for any claims relating to the services is limited to the greater of: (a) the amount you paid to FildraAI in the twelve (12) months preceding the event giving rise to the claim, or (b) $100 USD.

9.3 Agricultural Risk Acknowledgment

You acknowledge and agree that:

• Agriculture involves inherent risks including weather, pests, diseases, markets, and human error
• No AI system can guarantee specific yields, outcomes, or prevent all crop losses
• You assume all risks associated with farming decisions and crop management
• FildraAI is an informational tool only and does not control your farming practices

10. Indemnification

You agree to indemnify, defend, and hold harmless FildraAI and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use or misuse of the services
• Your violation of these terms or any applicable law or regulation
• Your violation of any third-party rights, including intellectual property or privacy rights
• Content you upload or submit through the services
• Farming decisions or actions taken based on service outputs
• Any harm caused by pesticides, fertilizers, or other products used based on our guidance

11. Termination

11.1 Termination by You

You may stop using FildraAI at any time and request deletion of your account as described in the Privacy Policy.

11.2 Termination by Us

We may suspend or terminate your access immediately, with or without notice, for:

• Violation of these terms or our policies
• Misuse, abuse, or attempts to compromise the services
• Non-payment of fees (where applicable)
• Protection of the services, other users, or FildraAI's interests
• Legal or regulatory requirements
• Discontinuation of services or features

11.3 Effect of Termination

• Your right to access the services immediately ceases
• Data retention and deletion follow our Privacy Policy and applicable law
• Provisions that should survive termination (including liability limitations, indemnification, and dispute resolution) remain in effect
• You remain liable for any obligations incurred before termination

12. Governing Law & Dispute Resolution

12.1 Governing Law

These terms are governed by the laws of [YOUR JURISDICTION - e.g., Taiwan, Delaware, UK], without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts in that jurisdiction.

12.2 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve disputes informally by contacting us. We will attempt to resolve disputes in good faith within 30 days.

12.3 Limitation Period

Any claim arising from these terms or the services must be filed within one (1) year after the claim arises, or it is permanently barred.

13. Changes to These Terms

We may update these Terms of Service as our services evolve. When changes are significant, we will notify you by email or by posting a clear notice on our website. Your continued use of FildraAI after changes take effect means you accept the updated terms. If you do not agree to the modified terms, you must stop using the services.

14. General Provisions

• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
• No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign these terms without our consent. We may assign these terms at any time
• Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and FildraAI
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control
